Position Overview
The VMware Legal Department is a team of dedicated legal professionals who
share a passion and enthusiasm to both understand and successfully navigate

As the Director of VMware’s Ethics and Compliance Program, you will be
responsible for working with Legal, HR, Finance and the Executive Staff to
develop the company’s Ethics and Compliance strategy and program structure. You
will ensure that ethics and compliance activities are strategically aligned with
the Company’s business objectives and are a catalyst for executing the Company’s
vision, mission and values. You will lead cross functional efforts to establish
and/or continuously improve VMware’s ethics and compliance standards and
policies/procedures, compliance risk assessment, training, employee awareness
and communication, discipline and incentives, reporting and investigations, and
program monitoring and measurement.
Primary Responsibilities
- Utilize a collaborative, creative, risk-based approach to work across
functional groups and geographies to identify and understand the ethical
challenges facing the company. Stakeholders may include general management,
Finance, HR, Legal, and the Audit Committee
- Lead cross functional, global efforts in the implementation and
monitoring of solutions to address ethics and compliance challenges.
Solutions may include training and awareness programs, global investigations
processes, and assimilation metrics
- Establish/Continuously improve mechanisms for management oversight and
monitoring of ethics and compliance activities and culture for the company
- Continuously improve processes for answering employee ethics related
questions involving appropriate subject matter experts in providing guidance
Qualifications & Experience
- Utilizes advanced Project Management effectively to deliver desired
results. Lead projects that have enduring impact and staying power, not
fading-out following the initial implementation. Deploys appropriate project
methodology and establishes resource needs. Prioritizes projects based on
potential business impact
- Well developed analysis skills to creatively (and appropriately) apply
leading edge theories and tools to change organizational behavior. Able to
grasp and dissect the key drivers of the analysis and minimizes time
investment and detail level by focusing on the important issues. Performs
analysis that drives recommendations
- Good written and verbal communication; identifies the desired impact of
his/her communication, and constructs messages and themes appropriately.
Seeks out and listens for feedback on how the message is received; tests for
impact. Communicates effectively to senior audiences
- Ability to influence by anticipating controversies and knowing how to
defuse them. Effectively uses insight, logic, and data to communicate
identified issues. Skillfully navigates around obstacles. Proactively plans
the best way to achieve objectives with business partners. Presents issues
confidently and professionally
- Experience as Compliance Director at similarly sized public company,
including managing cross functional, global programs, developing training
curriculum and content, communicating with varied levels of the organization
including senior management, and/or dealing with ethical issues and
challenges
- Working knowledge of the Federal Sentencing Guidelines, COSO (Committee
of Sponsoring Organizations of the Treadway Commission) and other applicable
ethics and compliance benchmarks
Education
- Bachelor's Degree/12+ years or Master's Degree/8+ years, CCEP preferred
- Law degree from an accredited U.S. law school required
